Grid Oversight Terms of Use
Effective September 26, 2026
The essentials, in a few lines. The full text follows, and it is the full text that governs.
- Grid Oversight brings together two separate services: Factory Grid (production plants) and Building Grid (buildings). They share no data with each other.
- The data of your company and your buildings belongs to you. We keep it to make Grid work, never to sell it.
- The leases, notices and documents Grid prepares are templates: have them reviewed before relying on them.
1.Who we are and to whom these terms apply
Grid Oversight is operated in Québec (“we”). These terms form the agreement between us and the company that uses Factory Grid or Building Grid (“you”, “the client company”). The person who creates the company in Grid, or who accepts these terms, represents that they have the authority to bind it. Your team members, your contractors and, in Building Grid, your tenants use Grid under your account; you are responsible for ensuring that they comply with these terms.
2.The services
- Factory Grid : sites and production lines, machines and equipment, labels and QR codes, work orders, preventive maintenance, sanitation, parts and consumables storerooms, technicians and contractors.
- Building Grid : buildings, units and premises, tenants and leases, service requests, suppliers, parking and storage lockers, rent and payments.
Factory Grid and Building Grid are two separate environments: a company in one never sees the data of the other. We improve Grid regularly; if a change removes a feature essential to your use, we will notify you in advance.
3.Accounts, access and security
- Creating a company requires an invitation code that we provide to you.
- Your company's administrator manages members, their roles and their access. Access rules are enforced by the server; you remain responsible for configuring them to suit your needs.
- Each person keeps their login credentials to themselves. Notify us without delay if you believe an account has been used without authorization.
4.Subscription and payment
- Grid is sold by subscription, based on the number of seats (administrators, technicians, sanitation, contractors) and the prices agreed upon at the time of subscription. Applicable taxes are extra.
- Until online payment is available, the subscription is billed according to the written agreement entered into with you. Once it is available, payments will be processed by Stripe; we will neither see nor store your card number.
- You may end the subscription at any time; it remains active until the end of the paid period, and amounts paid for a period that has begun are not refunded, unless required by law.
- We may change our prices by giving you at least thirty (30) days' notice. In the event of non-payment, access may be suspended; your data is not deleted during the suspension.
5.Your data
- The data you enter in Grid (sites, equipment, work orders, photos, buildings, leases, payments) belongs to your company. You grant us only the right to host and process it in order to provide the service to you.
- We make regular backups. Grid also works offline: anything done without a network connection is sent to the server once the connection returns.
- If you leave Grid, we keep your data for ninety (90) days after the end of the subscription, so that you can come back or obtain a copy, and we then delete it, except for what the law requires us to keep. Upon written request, we will delete it sooner.
6.Personal information
- You enter into Grid personal information about your employees, your contractors and, in Building Grid, your tenants (contact details, leases, payments). Your company remains responsible for it within the meaning of the Act respecting the protection of personal information in the private sector (Québec); we process it on your behalf, solely to provide the service to you.
- The tenant portal shows tenants only what concerns them: their unit, their lease, their requests and their payments.
- We use recognized service providers: Supabase (database and files) and Netlify (website); Stripe for payments once they are available. Some may process information outside Québec; we choose providers that offer adequate protection.
- In the event of a confidentiality incident involving your data, we will notify you diligently and help you meet your obligations.
7.What is not permitted
Using Grid for any illegal activity; attempting to access another company's data or to circumvent access rules; copying, decompiling or reselling the software; deliberately overloading the service; uploading content that infringes the rights of others. A breach may result in suspension of the account.
8.The documents Grid prepares
Grid prepares work orders, labels, maintenance and sanitation schedules and, in Building Grid, leases, notices and rental files. These documents are templates provided to save you time; they do not constitute legal advice. In Québec, a residential lease must be made on the mandatory form of the Tribunal administratif du logement: you are responsible for the compliance of the leases and notices you use. Have them reviewed by a professional before relying on them.
9.Equipment maintenance and safety
Grid helps you plan and track maintenance; it does not replace your technicians' judgment, the manufacturers' recommendations, or occupational health and safety rules (CNESST), including lockout. A missed schedule or incorrectly entered data does not make Grid responsible for the condition of any equipment or building.
10.Availability
We make reasonable efforts to keep Grid available at all times, but we do not guarantee uninterrupted service: maintenance, updates, or an outage at a provider or on the Internet may occur.
11.Liability
To the extent permitted by law, our liability to you for any claim related to Grid is limited to the amount you paid us during the twelve (12) months preceding the event. We are not liable for indirect losses, such as loss of production, rent or profits. Nothing in these terms excludes our liability for intentional or gross fault.
12.Intellectual property
The Grid software, the names Grid Oversight, Factory Grid and Building Grid, their logos and their content belong to us. Your subscription gives you the right to use them for your company's needs for the duration of the subscription; it does not transfer ownership of them to you.
13.Termination of the agreement
You may terminate the agreement at any time. We may terminate it with thirty (30) days' notice, or immediately in the event of a serious breach of these terms or persistent non-payment.
14.Changes to these terms
We may change these terms. We will notify you of any material change at least thirty (30) days in advance, in the app or by email. Continuing to use Grid after that date constitutes acceptance; if you do not agree, you may end the subscription before then.
15.Governing law and language
These terms are governed by the laws of Québec and the federal laws of Canada applicable therein. Any dispute falls under the jurisdiction of the courts of Québec. The parties have required that these terms be drawn up in French. This English version is a translation provided for convenience; if the two versions differ, the French version prevails.
